Memory Frames Media Photography License Terms
Effective Date: 1/17/2023
1. Ownership of Photography License
By engaging Memory Frames Media ("Provider") to provide photography services, the Client acknowledges and agrees that upon full payment for the services rendered, the Client shall obtain 100% ownership of the photography license for the images captured by Memory Frames Media.
2. Exclusive and Unlimited Usage
The Client is granted an exclusive and unlimited license to use, reproduce, display, and distribute the images for any purpose deemed necessary. This license includes but is not limited to marketing, advertising, promotional materials, print materials, website usage, social media, and any other media or platforms of the Client's choice.
3. Modification and Derivative Works
The Client is authorized to make modifications or derivative works of the images, such as cropping, resizing, editing, or adding graphics, text, or overlays, to suit their specific needs and branding. The Client may exercise their creative freedom to adapt the images as required.
4. Transfer and Sub-Licensing
The Client has the right to transfer the license granted hereunder to third parties or sublicense the images to contractors, partners, or other related parties for the sole purpose of promoting the Client's business. However, such third parties must adhere to the terms of this license.
5. Provider's Rights
Provider retains the right to showcase the images in their portfolio, website, social media, and marketing materials as examples of their work.
6. Intellectual Property
All intellectual property rights related to the images, including copyrights, remain with the Provider. The Client acknowledges that the license granted does not confer any ownership or transfer of intellectual property rights to the images beyond the scope outlined in this agreement.
7. Disputes
Any disputes arising from the use of the licensed images shall be subject to the laws of [Jurisdiction], and the parties agree to submit to the exclusive jurisdiction of the courts located therein.
8. Amendments
By engaging in photography services with Memory Frames Media, the Client signifies their understanding and agreement with these terms.
